These Terms & Conditions (“Terms”) govern access to and use of the website operated by FI50 ENGINEERED RESEARCH & SCIENCES LLC, doing business as Fi50 Research & Science (“Fi50,” “we,” “us,” or “our”), including fi50science.com (the “Site”), and the purchase of products or services offered through the Site.

By accessing the Site, creating an account, checking an acknowledgment or certification box, submitting an order, or purchasing any product from Fi50, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and by the policies incorporated into these Terms by reference.

If you do not agree with these Terms, do not create an account, submit an order, purchase products, or use restricted areas of the Site.

1. Eligibility and Age Requirement

You must be at least 21 years of age to create an account, access restricted product areas, or purchase products through the Site.

By registering for an account or placing an order, you represent and warrant that:

You are at least 21 years of age.
You have legal capacity to enter into a binding agreement.
All information you provide to Fi50 is accurate, complete, current, and not misleading.
You are acquiring products solely for lawful purposes consistent with these Terms.
You possess or have access to the knowledge, training, facilities, equipment, and procedures reasonably appropriate for the lawful handling of the materials purchased.
You will comply with all applicable federal, state, local, institutional, and other requirements governing your activities.

Fi50 may request additional information concerning a purchaser, company, institution, laboratory, intended research field, or intended research activity before accepting or fulfilling an order.

2. Research-Use-Only Products

Unless Fi50 expressly and accurately identifies a product otherwise in writing, products offered through the Site are supplied solely for lawful laboratory research, analytical, educational, and scientific research purposes.

Fi50 research products are not intended for human or veterinary use.

Products must not be used for:

Human or veterinary consumption.
Human or veterinary injection.
Administration to humans or animals by any route.
Ingestion or inhalation.
Topical or other application to humans or animals.
Diagnosis of any disease, disorder, or medical condition.
Treatment, cure, mitigation, or prevention of disease.
Therapeutic or clinical purposes.
Cosmetic use.
Food or dietary use.
Preparation of drugs for human or veterinary administration.
Any other purpose prohibited by applicable law.

Purchasers are solely responsible for ensuring that acquisition, possession, transportation, storage, handling, research use, transfer, and disposal of products comply with all laws, regulations, institutional rules, safety requirements, and professional standards applicable to their activities.

3. Regulatory Status; Sections 503A and 503B

FI50 ENGINEERED RESEARCH & SCIENCES LLC is not a pharmacy, compounding pharmacy, outsourcing facility, medical practice, healthcare provider, veterinary provider, prescribing entity, or drug-dispensing entity.

Fi50 is not a compounding pharmacy operating under Section 503A of the Federal Food, Drug, and Cosmetic Act (“FD&C Act”) and is not an outsourcing facility registered or operating under Section 503B of the FD&C Act.

No product offered by Fi50 is represented as:

Having been compounded pursuant to Section 503A.
Having been manufactured or compounded by Fi50 pursuant to Section 503B.
Qualifying for an exemption available under Sections 503A or 503B.
Being dispensed pursuant to a patient-specific prescription.
Being supplied by Fi50 as a compounded drug for office stock.
Being FDA-approved merely because analytical documentation, research labeling, or a Certificate of Analysis is available.

Nothing on the Site, on product labels, in packaging, Certificates of Analysis, correspondence, advertising, or other Fi50 materials should be interpreted as a representation that Fi50 or any Fi50 product qualifies for any approval, exemption, authorization, registration, or regulatory status available under Sections 503A or 503B of the FD&C Act.

Fi50 does not prescribe, compound, dispense, recommend, or provide medications for human or veterinary treatment or administration.

Products designated as research materials are offered for lawful laboratory research purposes only.

4. Laboratory Reconstitution Solutions, Solvents, Diluents, and Related Materials

Fi50 may offer products identified as laboratory reconstitution solutions, solvents, diluents, water-based research materials, bacteriostatic research solutions, or similar laboratory materials.

Such terminology describes laboratory or material characteristics and does not constitute a direction, recommendation, authorization, or representation that the product is intended for human or veterinary administration.

Unless expressly and lawfully identified otherwise by Fi50, such products are:

Offered solely for lawful laboratory research.
Not offered as medications.
Not offered as prescription products.
Not offered as human or veterinary injectable products.
Not represented as products intended for clinical administration.
Not offered for preparing substances for administration to humans or animals.

The use of words such as “reconstitution,” “solvent,” “diluent,” “bacteriostatic,” “water,” or similar technical terminology does not constitute instructions for human or veterinary use.

Purchasers must not use Fi50 research reconstitution solutions, solvents, diluents, or related research materials to prepare, formulate, compound, dilute, reconstitute, or facilitate the administration of any substance to a human or animal.

Fi50 does not provide:

Injection instructions.
Human or veterinary dosing calculations.
Clinical preparation protocols.
Instructions for administration.
Instructions for preparing products for human or veterinary injection.
Individualized medical or veterinary guidance.

The purchaser assumes full responsibility for ensuring that any use of these materials is lawful and consistent with these Terms.

5. No Medical, Veterinary, Pharmaceutical, or Legal Advice

Information appearing on the Site is provided solely for research, technical, informational, product-identification, and commercial purposes.

Nothing provided by Fi50 constitutes:

Medical advice.
Veterinary advice.
Pharmaceutical advice.
Diagnosis.
Treatment recommendations.
Prescribing information.
Dosing guidance.
Administration guidance.
Human or veterinary reconstitution instructions.
Legal advice.
Regulatory advice.
A recommendation to use any product in or on a human or animal.

Purchasers must obtain their own independent professional advice when appropriate.

6. Purchaser Responsibility

By purchasing from Fi50, you accept full responsibility for the lawful acquisition, possession, transportation, storage, handling, research use, transfer, and disposal of products purchased.

You agree that you will not use, permit, direct, encourage, assist, or knowingly facilitate the use of Fi50 research products for:

Human use.
Veterinary use.
Clinical use.
Therapeutic use.
Diagnostic use.
Cosmetic use.
Administration to humans or animals.
Any other prohibited purpose.

You are independently responsible for determining whether acquisition and use of a product is permitted for your activities and whether any licenses, registrations, approvals, permits, institutional authorizations, facilities, training, equipment, or safety procedures are required.

7. Assumption of Risk

Research materials may involve hazards that are not fully characterized.

By purchasing or handling Fi50 products, you acknowledge that laboratory research may involve inherent and unforeseen risks and voluntarily assume risks associated with lawful possession, handling, storage, experimentation, transfer, and disposal of the products.

You are responsible for:

Appropriate laboratory safety procedures.
Appropriate personal protective equipment.
Secure storage.
Proper labeling and segregation.
Preventing unauthorized access.
Preventing human or animal exposure.
Compliance with applicable disposal requirements.

Fi50 does not assume responsibility for consequences arising from misuse, unauthorized use, improper handling, improper storage, prohibited administration, unlawful experimentation, or use inconsistent with these Terms.

8. No Reliance on Fi50 for Regulatory Determinations

You acknowledge that Fi50 does not provide legal, regulatory, medical, veterinary, pharmaceutical, clinical, or compliance advice.

You agree that you have not relied upon Fi50 to determine whether your purchase, possession, handling, research, storage, transfer, resale, or disposal of any product is lawful or appropriate for your particular activities.

You are independently responsible for determining and maintaining all licenses, registrations, approvals, permits, facilities, procedures, training, documentation, and regulatory compliance applicable to you.

Statements by employees, contractors, customer-service representatives, or other persons do not modify the permitted use of a Fi50 product unless the modification is expressly authorized in writing by Fi50 and is lawful.

9. Research Access and Account Registration

Certain portions of the Site are restricted to registered users.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.

You may not:

Provide false or misleading registration information.
Misrepresent your age.
Misrepresent your institution, company, research field, or intended use.
Permit another person to use your account for prohibited purposes.
Circumvent age or research-use controls.
Circumvent Site access restrictions.
Create an account for fraudulent or unlawful purposes.

Fi50 may suspend, restrict, or terminate an account if Fi50 reasonably believes these Terms have been violated.

10. Purchaser Certifications and Electronic Acknowledgments

Fi50 may require purchasers to affirmatively certify or acknowledge certain conditions during registration or checkout.

Such certifications may include acknowledgment that:

The purchaser is at least 21 years old.
Products are being acquired solely for lawful laboratory research.
Products are not intended for human or veterinary use.
The purchaser accepts these Terms and incorporated policies.
The purchaser accepts responsibility for lawful handling and use.

Checking an acknowledgment or certification box constitutes an electronic representation made by the purchaser to Fi50.

Fi50 may rely upon these certifications in determining whether to create an account, permit access, accept an order, or continue a customer relationship.

11. Compliance Review and Right to Refuse Transactions

Fi50 reserves the right to refuse, suspend, investigate, limit, hold, or cancel an account, transaction, or customer relationship when Fi50 reasonably believes that:

A purchaser intends prohibited human or veterinary use.
A purchaser intends unlawful use.
Information supplied is false or misleading.
A transaction may involve fraud.
Regulatory or legal concerns exist.
A purchaser is attempting to circumvent Site controls.
Products may be improperly resold or redistributed.
Continuing the transaction may create legal, regulatory, financial, safety, or security risk.

Fi50 may request additional information concerning a purchaser’s identity, organization, institution, laboratory, facilities, research field, or intended research activity.

Fi50 has no obligation to complete a transaction when reasonably available information suggests prohibited or unlawful use.

12. Product Information

Fi50 makes reasonable efforts to provide accurate product names, quantities, specifications, descriptions, lot or batch information, and related research information.

Fi50 may correct:

Typographical errors.
Product descriptions.
Images.
Pricing errors.
Availability information.
Technical specifications.
Other Site information.

Research materials may exhibit variations associated with manufacturing lots, laboratory testing, analytical methods, measurement tolerances, storage, transportation, or other variables.

13. Certificates of Analysis and Laboratory Documentation

Fi50 may provide Certificates of Analysis (“COAs”), laboratory reports, batch information, QR-code verification, or other analytical documentation.

Such documentation is provided for research and analytical reference purposes only.

A COA or laboratory report does not constitute:

FDA approval.
Authorization for human or veterinary use.
Medical certification.
Therapeutic certification.
A guarantee of suitability for a particular experiment.
A representation that a product may lawfully be administered to humans or animals.

Purchasers remain responsible for determining whether a product is suitable for their lawful research activities.

14. Product Images and Packaging

Product images, packaging photographs, graphics, labels, illustrations, and other visual content are provided for informational and product-identification purposes.

Actual packaging, labeling, appearance, vial design, graphics, or presentation may change when such changes do not materially alter the product purchased.

Images are not intended to imply human or veterinary use.

15. Orders

Submitting an order constitutes an offer to purchase and does not guarantee acceptance.

Fi50 may accept, reject, hold, limit, or cancel orders for reasons including:

Product availability.
Incorrect pricing.
Listing errors.
Payment issues.
Fraud concerns.
Regulatory concerns.
Research-use concerns.
Shipping restrictions.
Violations of these Terms.
Suspected prohibited use.

If Fi50 cancels an order after payment has been successfully collected, amounts due will be refunded through an appropriate lawful method.

16. Pricing, Fees, Taxes, and Charges

Product prices are shown in U.S. dollars unless otherwise stated.

Orders may include:

Product charges.
Shipping charges.
Order-processing fees.
Applicable taxes.
Other charges disclosed before purchase.

Applicable processing fees and other charges will be disclosed during checkout before the purchaser submits the order.

The purchaser is responsible for reviewing the complete transaction amount before submitting payment.

Fi50 may delay fulfillment while payment or identity verification is pending.

Availability of any particular payment method is not guaranteed.

18. Shipping and Delivery

Fi50 currently accepts orders for delivery to eligible addresses within the United States only, unless Fi50 expressly states otherwise.

Shipping options, charges, processing estimates, and estimated delivery periods are displayed on the Site, during checkout, or within the Shipping and Delivery Policy.

Delivery dates are estimates unless expressly guaranteed by the carrier.

Fi50 is not responsible for delays caused by circumstances outside its reasonable control, including:

Carrier delays.
Weather.
Natural disasters.
Holidays.
Incorrect addresses.
Transportation interruptions.
Government actions.
Security reviews.
Supply-chain interruptions.
Force majeure events.

Customers are responsible for providing complete and accurate delivery information.

Additional shipping terms are governed by the Fi50 Shipping and Delivery Policy, incorporated into these Terms by reference.

19. Risk of Loss and Delivery Issues

Responsibility for packages and claims relating to loss, damage, missing contents, incorrect items, theft, or delivery problems will be handled in accordance with Fi50’s Shipping and Delivery Policy and Refund, Replacement & Claims Policy, subject to applicable law.

Customers must promptly inspect deliveries and report qualifying problems within the applicable claim period.

Fi50 may require photographs, packaging, labels, tracking information, batch information, or other documentation reasonably necessary to investigate a claim.

20. Free Shipping, Coupons, and Promotions

Fi50 may offer free shipping, discount codes, promotional pricing, or other incentives.

Eligibility may depend on:

Minimum purchase amount.
Qualifying coupon.
Eligible products.
Geographic location.
Promotion dates.
Other disclosed conditions.

Promotions may be modified or discontinued prospectively unless otherwise required by law.

Promotional offers have no cash value unless expressly stated.

21. Refunds, Replacements, and Claims

Because research materials may be sensitive to contamination, tampering, storage, chain-of-custody, and handling conditions, return and replacement eligibility is governed by the Fi50 Refund, Replacement & Claims Policy.

Customers must inspect shipments promptly.

Claims concerning damaged, missing, incorrect, compromised, or materially defective shipments must be reported within the period specified in that policy.

Fi50 may require:

Photographs.
Packaging.
Shipping documentation.
Batch information.
Product information.
Other reasonable evidence.

Opened, used, altered, improperly stored, contaminated, or tampered products may be ineligible for return, refund, replacement, or credit.

Depending upon circumstances, Fi50 may provide:

Replacement.
Store credit.
Refund.
Another appropriate remedy.

Nothing in these Terms limits non-waivable rights provided by applicable law.

22. Storage, Handling, and Disposal

Purchasers are responsible for proper receipt, storage, security, handling, laboratory use, and disposal of Fi50 products.

Any storage information provided by Fi50 is intended solely to help preserve research-material integrity.

Storage recommendations do not constitute instructions for human or veterinary use.

Purchasers should follow all applicable laboratory safety procedures and legal disposal requirements.

23. Prohibited Conduct

You may not use the Site or Fi50 products to:

Violate any law or regulation.
Facilitate prohibited human or veterinary use.
Misrepresent the intended use of a product.
Circumvent research-access restrictions.
Engage in fraud.
Interfere with Site security.
Gain unauthorized access to systems.
Scrape or harvest protected Site content without authorization.
Infringe intellectual-property rights.
Mislabel products.
Create counterfeit products or documentation.
Falsify Certificates of Analysis.
Represent yourself as Fi50 or an authorized Fi50 representative without permission.
Promote Fi50 research products for prohibited human, veterinary, therapeutic, diagnostic, or clinical purposes.

24. Resale, Redistribution, Relabeling, and Repackaging

Purchase from Fi50 does not automatically authorize resale, redistribution, commercial relabeling, repackaging, or representation of Fi50 products.

Any authorized commercial resale or distribution arrangement must be separately approved in writing by Fi50.

Purchasers may not:

Remove research-use warnings.
Alter labels to imply human or veterinary use.
Falsify product origin.
Alter or falsify laboratory documentation.
Misrepresent product regulatory status.
Market products for prohibited purposes.

Purchasers assume responsibility for unauthorized resale or redistribution.

25. Export and International Restrictions

Unless expressly authorized by Fi50, products are intended for delivery within the United States.

Products may not be exported, forwarded, transferred, or reshipped in violation of:

United States export law.
Trade sanctions.
Customs laws.
Foreign laws.
Regulatory restrictions.
These Terms.

Purchasers are solely responsible for export-control compliance applicable to their conduct.

26. Intellectual Property

The Fi50 name, logos, branding, graphics, photographs, website design, text, documentation, icons, and other proprietary Site content are owned by or licensed to FI50 ENGINEERED RESEARCH & SCIENCES LLC and are protected by applicable intellectual-property law.

You may not reproduce, copy, modify, publish, distribute, sell, license, create derivative works from, or commercially exploit Fi50 intellectual property without prior written authorization.

27. Third-Party Services

Fi50 may use independent third-party providers, including:

Payment processors.
Shipping carriers.
Hosting providers.
Email providers.
Analytics services.
Security providers.
Technology platforms.

Fi50 does not control independent third parties and is not responsible for their separate terms, privacy practices, outages, acts, or omissions except where applicable law provides otherwise.

28. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, SITE CONTENT, PRODUCTS, RESEARCH MATERIALS, ANALYTICAL DOCUMENTATION, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

FI50 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RESULTS, OR SUITABILITY FOR A PARTICULAR EXPERIMENT OR RESEARCH APPLICATION, EXCEPT TO THE EXTENT SUCH WARRANTY CANNOT LAWFULLY BE DISCLAIMED.

Fi50 does not warrant that:

The Site will always be available.
The Site will be error-free.
Research results will be reproducible.
A product will be appropriate for a purchaser’s particular experiment.
Information supplied by third parties will always be accurate.

29. Limitation of Liability

To the fullest extent permitted by applicable law, FI50 ENGINEERED RESEARCH & SCIENCES LLC and its owners, officers, employees, contractors, affiliates, agents, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to:

Use or misuse of products.
Human or veterinary use.
Prohibited administration.
Improper storage.
Improper handling.
Unauthorized resale.
Unauthorized redistribution.
Experimental failure.
Loss of research materials or data.
Business interruption.
Shipping delays outside Fi50’s reasonable control.
Use or inability to use the Site.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FI50’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO FI50 FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.

30. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless FI50 ENGINEERED RESEARCH & SCIENCES LLC, together with its owners, officers, employees, contractors, agents, affiliates, and service providers, from claims, actions, liabilities, judgments, damages, losses, penalties, costs, and reasonable expenses arising from or relating to:

Your breach of these Terms.
False representations made by you.
Your unlawful use of a product.
Human or veterinary use of a product.
Improper preparation or administration.
Improper storage or handling.
Unauthorized resale or redistribution.
Your violation of applicable laws or regulations.
Your infringement of third-party rights.
Your acts or omissions relating to products purchased from Fi50.

This provision applies only to the fullest extent permitted by law.

31. Privacy

Use of the Site is also governed by the Fi50 Privacy Policy.

The Privacy Policy explains how Fi50 collects, uses, processes, stores, protects, and shares personal information.

By using the Site, you acknowledge that you have had an opportunity to review the Privacy Policy.

32. Electronic Communications

By creating an account, placing an order, or communicating electronically with Fi50, you consent to receive transactional communications electronically, including:

Account notices.
Order confirmations.
Shipping notifications.
Security notices.
Customer-service communications.
Policy notices.
Other communications reasonably necessary to administer your account or transaction.

Marketing communications will be handled in accordance with applicable law and applicable opt-in/opt-out requirements.

33. Suspension and Termination

Fi50 may suspend or terminate Site access, accounts, orders, or purchasing privileges when Fi50 reasonably believes:

These Terms have been violated.
Fraudulent conduct may have occurred.
Products may be used unlawfully.
Products may be intended for prohibited human or veterinary use.
Account information is false or misleading.
Continued access creates legal, regulatory, financial, safety, reputational, or security risk.

Termination does not eliminate obligations arising before termination.

34. Force Majeure

Fi50 will not be liable for delay or failure caused by circumstances outside its reasonable control, including:

Natural disasters.
Severe weather.
Fires.
Floods.
Epidemics.
Government actions.
Labor disruptions.
Carrier interruptions.
Supply shortages.
Cyber incidents.
Utility failures.
Transportation failures.
Other force majeure events.

35. Governing Law and Venue

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where federal law or non-waivable applicable law controls.

Any dispute arising from these Terms, use of the Site, or a transaction with Fi50 shall be brought in a court of competent jurisdiction located in Michigan unless applicable law requires another venue.

36. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain effective to the maximum extent permitted by law.

An invalid provision may be interpreted or modified only to the extent necessary to make it enforceable where legally permitted.

37. No Waiver

Failure by Fi50 to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

A waiver concerning one event does not constitute a continuing waiver.

38. Assignment

You may not assign or transfer your rights or obligations under these Terms without Fi50’s prior written consent.

Fi50 may assign its rights or obligations in connection with a merger, acquisition, corporate restructuring, asset transfer, or other lawful business transaction.

39. Survival

Provisions that by their nature should survive termination of these Terms will survive, including provisions concerning:

Purchaser responsibility.
Assumption of risk.
Intellectual property.
Warranty disclaimers.
Limitation of liability.
Indemnification.
Governing law.
Outstanding payment obligations.

40. Entire Agreement

These Terms, together with the:

Privacy Policy
Refund, Replacement & Claims Policy
Shipping and Delivery Policy
Any additional policy expressly incorporated by reference

constitute the agreement governing use of the Site and applicable purchases from Fi50.

If a specific Fi50 policy directly governs a particular issue and conflicts with a more general provision of these Terms, the more specific provision will control with respect to that issue to the extent permitted by law.

41. Changes to These Terms

Fi50 may update these Terms prospectively to reflect changes in:

Business practices.
Products.
Technology.
Payment processing.
Shipping practices.
Legal requirements.
Regulatory developments.
Site functionality.

Updated Terms will be posted on the Site with a revised Last Updated date.

Continued use of the Site after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

42. Research-Use and Purchaser Responsibility Acknowledgment

By creating an account or completing a purchase where the applicable acknowledgment is presented, you certify and acknowledge that:

You are at least 21 years old.
You understand that Fi50 research products are offered solely for lawful laboratory research unless expressly stated otherwise.
You understand that Fi50 research products are not intended for human or veterinary use.
You will not use the products for consumption, injection, ingestion, inhalation, application, diagnosis, treatment, cure, mitigation, or prevention of disease in humans or animals.
You accept responsibility for lawful possession, handling, storage, research use, transfer, and disposal.
You understand that Fi50 does not provide medical, veterinary, pharmaceutical, dosing, injection, or clinical-use advice.
You agree to comply with these Terms and the incorporated Fi50 policies.

Your electronic acknowledgment has the same effect as your affirmative acceptance of these conditions to the extent permitted by applicable law.
